    • Supply, installation, commissioning, and maintenance of clinical and medical equipment
    • Hospital facility management and support services
    • Digital healthcare and logistics solutions
    • Institutional catering and canteen management services
    • Hospitality and healthcare operational support services
    • Consultancy and project management services
    The detailed scope, deliverables, pricing, timelines, and obligations shall be governed by separate agreements, proposals, work orders, purchase orders, or service contracts executed between the parties.

  5. Eligibility
  6. Services are offered to:

    • Hospitals and healthcare institutions
    • Corporate entities and organizations
    • Government and semi-government institutions
    • Educational and research organizations
    • Individuals and entities availing catering or hospitality-related services
    Users availing our services must have the legal capacity and authority to enter into binding contracts under applicable Indian laws.

  7. Orders, Contracts & Acceptance
    1. All orders and service engagements are subject to acceptance and confirmation by Bloom Healthcare & Hospitality Management Private Limited.
    2. A valid contract may be formed through:
      • Signed agreements
      • Purchase Orders (POs)
      • Work Orders (WOs)
      • Email confirmations
      • Digitally accepted quotations or proposals
    3. The Company reserves the right to refuse or cancel any order in cases including but not limited to:
      • Incorrect pricing or typographical errors
      • Unavailability of products or manpower
      • Regulatory restrictions
      • Client non-compliance
      • Fraudulent or suspicious activities

  8. Pricing & Payment Terms
    1. All prices are quoted in Indian Rupees (INR) unless otherwise specified.
    2. Applicable Goods and Services Tax (GST) and statutory levies shall be charged additionally where applicable.
    3. Payment schedules and milestones shall be governed by the respective agreement or invoice.
    4. Delayed payments may attract:
      • Interest or late payment charges
      • Suspension of services
      • Withholding of deliverables or access
    5. Advance payments may be required for customized projects, procurement orders, equipment sourcing, or event catering services.
    Accepted payment methods include:
    • UPI
    • Net Banking
    • Credit/Debit Cards
    • Bank Transfers (NEFT/RTGS/IMPS)
    • Approved Digital Wallets

  9. Client Responsibilities
  10. Clients agree to:

    • Provide accurate and complete operational, technical, and billing information
    • Ensure timely approvals and site access
    • Cooperate during installation, inspections, audits, and maintenance activities
    • Comply with applicable healthcare, safety, and statutory regulations
    • Maintain confidentiality of proprietary or confidential information shared by the Company

  11. Compliance & Regulatory Standards
  12. Bloom Healthcare & Hospitality Management Private Limited endeavors to comply with applicable laws, regulations, and industry standards including:

    • Food Safety and Standards Authority of India (FSSAI)
    • Applicable healthcare, labor, environmental, and information technology laws in India
    Clients shall provide reasonable assistance and cooperation to maintain such compliance requirements wherever applicable.

  13. Intellectual Property Rights
    • All proprietary materials including software, systems, dashboards, workflows, reports, digital tools, branding elements, designs, methodologies, and documentation developed or provided by Bloom Healthcare & Hospitality Management Private Limited shall remain the exclusive intellectual property of the Company.
    • Clients shall not reproduce, modify, distribute, reverse engineer, or commercially exploit such materials without prior written consent.

  14. Confidentiality
  15. Both parties agree to maintain confidentiality of all proprietary, commercial, operational, and sensitive information exchanged during the course of engagement, including but not limited to:

    • Business and commercial information
    • Healthcare facility data
    • Technical and operational documents
    • Pricing and contractual information
    • Sensitive dietary or service-related information
    Disclosure shall only be permitted where required under applicable law or by competent authorities.

  16. Limitation of Liability
    1. The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of services or products.
    2. The maximum liability of the Company, if any, shall not exceed the amount paid by the client for the specific service or product giving rise to the claim.
    3. The Company shall not be responsible for delays or failures caused by:
      • Force majeure events
      • Government actions or restrictions
      • Supply chain disruptions
      • Third-party service failures
      • Client-side delays or non-cooperation

  17. Suspension & Termination
  18. Bloom Healthcare & Hospitality Management Private Limited reserves the right to suspend or terminate services in cases including:

    • Non-payment of dues
    • Breach of contract
    • Misuse of services or products
    • Violation of compliance obligations
    • Fraudulent or unlawful activities
    Clients may terminate services subject to contractual notice periods and settlement of all outstanding dues and obligations.

  19. Indemnity
  20. Clients agree to indemnify and hold harmless Bloom Healthcare & Hospitality Management Private Limited, its directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

    • Client negligence or misconduct
    • Regulatory violations attributable to the client
    • Unauthorized use of products or services
    • Third-party claims related to client operations or instructions

  21. Governing Law & Jurisdiction
  22. These Terms & Conditions shall be governed and construed in accordance with the laws of India. All disputes arising out of or relating to these Terms & Conditions shall be subject to the exclusive jurisdiction of competent courts located in Delhi, India.
